Pursuant to the terms of CPA, VIDIZMO may supply to partner, promotional material such as brochures, data sheets, specifications sheet, product literatures, competitive sheets, diagrams, manuals and other licensed materials, related promotional materials bearing one or more of the following trademarks: VIDIZMO and all related logos and designs, and other trademarks which VIDIZMO may adopt from time to time for use in connection with the licensed materials. VIDIZMO hereby grants partner a non-exclusive, non-transferable license to use the promotional material in connection with the licensed materials to the extent reasonably necessary to allow partner to exercise its rights under this agreement. Partner may use such promotional material to promote VIDIZMO products and services.

Partner acknowledges VIDIZMO’s exclusive ownership of the VIDIZMO promotional materials and agrees not to claim any right, title or interest in or to VIDIZMO, or to apply for registration or register any of the promotional materials in any jurisdiction. Partner agrees to use promotional material on as is basis and cannot remove, alter, or otherwise modify any trademarks affixed by VIDIZMO to licensed materials.

Partner acknowledges that all goodwill created or otherwise associated with the promotion, marketing, distribution and support of the licensed materials and the trademarks and trade names associated therewith in the territory during or following the term of this agreement shall accrue directly to the benefit of VIDIZMO and shall be the sole and exclusive property of VIDIZMO. Notwithstanding the preceding, VIDIZMO acknowledges that partner will also benefit from acting as a partner of the licensed materials, and providing value-added services to its end-users.

In addition, following partners are required to follow, the following guidelines to make use of VIDIZMO brand logos

• Logo cannot be altered or imitated or derived from to reproduce similar logos or other derivative work
• Logo cannot be blended with other logo and must be used as standalone mark
• Logo, when used must accompany the registered trademark symbol with it ®
• Logo must be used as provided by VIDIZMO with no changes, including but not limited to, the color, proportion/aspect ratio, orientation, design, words, artworks or trademark symbols
• Logo width must always be greater than or equal to 60 pixels
• Logo must always appear horizontally

The brochure, and other marketing collateral provided by VIDIZMO to partners can be used under following guidelines

• Logos, pictures or other artwork provided by VIDIZMO as part of the brochure or other marketing collateral or as standalone, cannot be altered, modified or morphed in any way to produce derivative work
• Claims made by VIDIZMO products on such marketing collateral in the form of case studies, features, benefits, or other forms of textual information, cannot be modified without VIDIZMO's consent, as they may misrepresent VIDIZMO and its capability
• Marketing collateral must always carry VIDIZMO brand logos displayed prominently
• Marketing collateral must not use language that may imply Partner's involvement in ownership including but not limited to intellectual property, ideas, copyright or other trademarks related to VIDIZMO

VIDIZMO reserves the right  to its sole discretion to modify or to dismiss permission to display logo and to use marketing collateral. VIDIZMO may request partners to modify or delete use of its trademarks if, in sole VIDIZMO's judgment, it does not comply with the guidelines set forth or harms VIDIZMO's rights or reputation in any way.
